1. About these Terms

These Terms apply to all visitors of this website and to all clients who engage Rademan Studios for professional services. Where a separate written agreement or statement of work exists between Rademan Studios and a client, the terms of that agreement take precedence over these Terms in the event of a conflict.

These Terms are governed by the laws of the Republic of South Africa, including the Electronic Communications and Transactions Act (ECT Act, No. 25 of 2002), the Consumer Protection Act (CPA, No. 68 of 2008) where applicable, and the Protection of Personal Information Act (POPIA, No. 4 of 2013).

2. Services

Rademan Studios provides digital consulting services including, but not limited to, UI/UX design, brand strategy, website design and development, product experience, and SEO strategy. Services are delivered on a project, consulting, or retainer basis as agreed in writing before work begins.

No work will commence without a signed agreement or written confirmation of scope, timeline, and fees.

3. Engagement types and fees

Rademan Studios offers three engagement models:

Contract Work at R500–R600 per hour (excl. VAT), with a minimum engagement of 18 days at 7 hours per day.

Consulting at R700–R800 per hour (excl. VAT), with a minimum engagement of 15 days at 7 hours per day.

Monthly Retainer at R30,000+ per month (excl. VAT), with a minimum commitment of 3 months and 40 hours per month.

All rates are exclusive of VAT. Specific rates, scope, and terms for each engagement are confirmed in a separate written agreement or statement of work prior to commencement. The rates listed above are indicative and subject to change. The rate card is valid for 2026 unless otherwise stated.

4. Payment terms

A deposit of 50% of the agreed project fee is required before work begins, unless otherwise agreed in writing. The remaining balance is due upon completion of the project or as outlined in the statement of work.

For retainer engagements, invoices are issued monthly in advance and are payable within 7 days of invoice date.

Late payments may attract interest at the prescribed rate under the National Credit Act or at 2% per month, whichever is applicable. Rademan® Studios reserves the right to pause or suspend work on any engagement where payment is overdue by more than 14 days.

5. Intellectual property

Work product. All original work created by Rademan Studios for a client — including designs, wireframes, prototypes, brand assets, website code, and documentation — becomes the property of the client upon full payment of all invoices related to that work.

Until full payment is received, all intellectual property rights remain with Rademan Studios. No work may be used, published, or distributed by the client until the final invoice has been settled.

Portfolio rights. Rademan Studios retains the right to display completed work in its portfolio, on its website, and in marketing materials, unless a written confidentiality agreement states otherwise.

Third-party assets. Where third-party assets are used in a project (stock imagery, fonts, plugins, or templates), the client is responsible for ensuring they hold or acquire the appropriate licences for ongoing use. Rademan Studios will advise on licensing requirements but does not assume liability for third-party licence compliance after project handover.

Pre-existing IP. Any tools, frameworks, templates, or methodologies developed by Rademan Studios prior to or independently of a client engagement remain the intellectual property of Rademan Studios.

6. Client responsibilities

To deliver work effectively, I need certain things from you. Clients are responsible for:

Providing clear and timely briefs, feedback, and approvals. Supplying all required content, assets, brand guidelines, and access credentials in a timely manner. Designating a single point of contact authorised to provide feedback and sign off on deliverables. Responding to review requests within the agreed timeframe.

Delays caused by late feedback, missing assets, or unclear briefs may result in adjusted timelines. If a project is delayed by more than 30 days due to client inaction, Rademan Studios reserves the right to invoice for work completed to date and close the project.

7. Revisions and scope changes

Each engagement includes a defined scope of work. Revisions and feedback within that scope are included as agreed.

Requests that fall outside the original scope — additional pages, new features, changes to the agreed brief, or expanded deliverables — constitute a scope change and will be quoted separately before any additional work begins.

I'll always flag a scope change before it becomes a cost. No surprises.

8. Confidentiality

Both parties agree to keep confidential any proprietary, sensitive, or non-public information shared during the engagement. This includes business strategy, financial information, unreleased designs, technical architecture, and customer data.

Confidentiality obligations survive the termination of the engagement for a period of 2 years, unless a separate NDA specifies different terms.

9. Limitation of liability

Rademan Studios provides services on a professional best-efforts basis. While I take every reasonable step to deliver quality work, I cannot guarantee specific commercial outcomes, including but not limited to increases in traffic, leads, revenue, or conversion rates.

To the maximum extent permitted by South African law, Rademan Studios' total liability for any claim arising out of or related to services provided shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim.

Rademan Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, data, or business opportunity, even if advised of the possibility of such damages.

10. Termination

Either party may terminate an engagement by providing 14 days' written notice, unless a different notice period is specified in the signed agreement.

Upon termination, the client is responsible for payment of all work completed up to the date of termination. Any deposit paid is non-refundable unless otherwise agreed in writing.

For retainer engagements, early termination before the end of the minimum commitment period requires payment of the remaining months at 50% of the monthly retainer fee, unless waived in writing.

11. Website use

General use. This website is provided for informational purposes. You may browse, read, and download content for personal, non-commercial use. You may not reproduce, distribute, or commercially exploit any content from this website without written permission.

Accuracy. I make reasonable efforts to ensure the information on this website is accurate and up to date, but I don't warrant that it's complete, current, or error-free. Portfolio case studies reflect work completed at the time of engagement and may not represent the client's current digital presence.

Availability. I don't guarantee uninterrupted access to this website. The site may be temporarily unavailable for maintenance, updates, or reasons beyond my control.

12. Lead generation and data collection

Where this website collects personal information through lead generation forms, contact forms, or newsletter sign-ups, the collection and processing of that data is governed by the Rademan Studios Privacy Policy.

By submitting your information through a lead generation form, you acknowledge that your data may be used for marketing purposes, uploaded to advertising platforms, and where you have explicitly opted in, shared with or sold to third-party businesses as described in the Privacy Policy.

Your rights regarding your personal information, including the right to opt out and request deletion, are set out in the Privacy Policy.

13. Third-party links and tools

This website may contain links to third-party websites, platforms, and tools. These are provided for convenience and do not imply endorsement. I'm not responsible for the content, privacy practices, or terms of service of any third-party site.

14. Indemnification

You agree to indemnify and hold harmless Reinier Rademan, trading as Rademan Studios, from any claims, damages, losses, or expenses (including legal fees) arising out of your use of this website, your breach of these Terms, or your violation of any applicable law.

15. Force majeure

Rademan Studios shall not be liable for any delay or failure to perform obligations under these Terms or any service agreement where such delay or failure results from circumstances beyond reasonable control, including but not limited to natural disasters, power outages, internet disruptions, government action, pandemics, or civil unrest.

16. Dispute resolution

Any dispute arising from these Terms or from a service engagement shall first be addressed through good-faith negotiation between the parties. If a resolution cannot be reached within 30 days, either party may refer the matter to mediation under the rules of the Arbitration Foundation of Southern Africa (AFSA).

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa, and the parties submit to the exclusive jurisdiction of the courts of Gauteng, Pretoria.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

18. Changes to these Terms

I may update these Terms from time to time. Changes will be posted on this page with a revised date. Your continued use of the website or services after changes are posted constitutes acceptance of the updated Terms. Material changes affecting ongoing engagements will be communicated directly.

Here's what's covered and why it matters:

Section 3 and 4 lock down your rate card and payment terms so there's no ambiguity about what things cost and when you get paid. The 50% deposit, late payment interest, and right to pause work protect your cash flow.

Section 5 handles IP transfer cleanly. Work belongs to the client after full payment, not before. Your portfolio rights are preserved. And you keep ownership of your own tools and methods.

Section 6 and 7 protect you from scope creep and client delays. The 30-day inaction clause is particularly important for a solo operator — you can't afford to have projects sitting open indefinitely because a client went quiet.

Section 9 caps your liability at the fees paid for that specific engagement. Without this, a client could theoretically come after you for consequential damages that far exceed what they paid you.

Section 10 covers termination for all three engagement types, including the retainer early exit clause at 50% of remaining months.

Section 12 ties the lead gen and data sales language back to the Privacy Policy so the two documents work as a pair.

Section 16 establishes Pretoria jurisdiction and mediation-first dispute resolution through AFSA, which is faster and cheaper than going straight to court.
